Capstone Green Energy successfully concluded its Chapter 11 bankruptcy restructuring on December 7, 2023. For detailed information, you can refer to the official press release here. As part of the restructuring, Capstone substantially reduced its indebtedness and secured an additional $7 million in new financing. Following these transactions, Capstone Green Energy Holdings, Inc. now operates the Capstone business with a 62.5% controlling interest in a newly formed operating subsidiary, Capstone Green Energy LLC.

At present, during this transitional phase, Capstone Green Energy Holdings, Inc. does not have an assigned ticker symbol. As the Company progresses through this period of change, investors and stakeholders are advised to stay tuned for official announcements regarding the reinstatement of a ticker symbol.

With the conclusion of the bankruptcy court proceedings, all existing common shares of Capstone Green Energy Corporation have been canceled. Stockholders have been issued one (1) share of common stock of Capstone Green Energy Holdings, Inc. for each canceled share of common stock of Capstone Green Energy Corporation.

Yes. Capstone Green Energy Holdings, Inc. has announced that it is the successor to Capstone Green Energy Corporation’s SEC filing obligations and will continue to file current and periodic reports with the SEC. Capstone Green Energy Holdings, Inc. continues to work on the restatement of previously issued financial statements, which was announced by Capstone Green Energy Corporation in September 2023.

Capstone Green Energy Corporation underwent dissolution in its Chapter 11 proceedings, resulting in the loss or suspension of the CGRN/CGRNQ ticker. Once the Company successfully completes its restatements and brings all of its delinquent filings to a current status, it will work towards regaining its original ticker symbol, CGRN, and to qualify for quotation of the Company’s common stock on the OTC Pink Market.

We were organized in 1988 under the Capstone Turbine Corporation name. On June 22, 2000, we reincorporated as a Delaware corporation.

Capstone Green Energy Corporation became a public company on June 29, 2000, as Capstone Turbine Corporation trading on the NASDAQ Capital Market under the ticker symbol CPST. Capstone Turbine Corporation became Capstone Green Energy Corporation and the ticker symbol was changed to CGRN on April 22, 2021.

On October 5, 2023, the Company was officially delisted from the NASDAQ Capital Markets and has since transitioned its trading activities to the OTC Markets, where it can be found under the ticker symbol CGRNQ.

  • On November 9, 2015 Capstone Green Energy effected a one-for-twenty reverse stock split.
  • On October 22, 2019 Capstone Green Energy effected a one-for-ten reverse stock split.

Capstone Green Energy is classified as a Smaller Reporting Company and non-accelerated filer by the SEC, whereas the quarterly 10-Q must be filed within 45 days of the end of a quarter, and the annual 10-K must be filed within 90 days of the fiscal year which is March 31st. The earning calls are held prior to the filing of the 10-Q or 10-K and are announced via a press release, generally two weeks prior to the earnings release date.

Capstone Green Energy holds its Annual Meeting of Stockholders in late August or early September. Stockholders are informed of the date, time and location by Proxy that is distributed in advance of the meeting, and a notice is placed on the Investor Relations section of the Company website.
