DEPARTMENT: Legal
REPORTS TO: President and CEO

PURPOSE OF THE POSITION: Responsible for providing strategic direction and guidance in legal matters for the corporation. Advises top management on business practices and policy. Works cross functionally in all of the key transactions of the Company. Manages the legal function, and outside counsel, as needed, in such a way as to further Capstone’s business effectively and cost-efficiently.

DUTIES AND RESPONSIBILITIES:

  • Participates in the definition and development of corporate policies, procedures and programs and ensures the company receives continuing counsel and guidance on legal matters and on legal implications for company matters.
  • Staff Counsel will provide legal and business advice on a wide range of strategic, tactical and operational issues and assist with corporate leaders in managing corporate risk.
  • Works closely with outside counsel who advises the Board of Directors, and handles all securities/governance matters and together they will oversee the legal affairs of Capstone.
  • Oversees the development of contracts including drafting and negotiating distribution contracts, managing intellectual property (IP) portfolios, as well as handling all patent, trademarks and licensing matters for customers and suppliers.
  • Ensures legal counsel is provided to senior management in a professional and unbiased manner, constructively helping to achieve business purposes within legal and ethical means, while “relentlessly executing” the Company’s business strategy for growth and achievement of shareholder value.
  • Provides legal strategy and support on litigation filed against or on behalf of the company and works with the appropriate executive(s)and outside counsel to define related strategies.
  • Facilitating filings of licensing forms and other statutory requirements
  • Maintaining knowledge of the company’s legal documents and operations
  • Keeping a record of all legal documents and proceedings for the company
  • Manage outside counsel relationships, ensure efficient use of outside counsel, and the effectiveness of the work product. 

SKILLS AND ABILITIES:

  • Broad experience with corporate legal practices and activities.
  • Strong experience with IP and commercial contracts knowledge required

  • Demonstrated ability in advising executive management and have strong ethics and integrity to command the trust and respect of executives and subordinates.

EDUCATION AND EXPERIENCE:

  • 7 – 10+ years of general corporate experience.
  • Prior experience in a publicly-held company, even if not directly involved in public company/securities matters.
  • Strong IP and contracts experience.
  • Experience advising executive management and Human Resources.
  • U.S. credentialed law degree from ABA accredited law school.
  • Transactional experience with a broad range of business transactions, including product production and distribution, purchases and supplier relationships, employee issues, strategic alliances, research and development agreements and mergers and acquisitions.

Reports To: VP Operations

Purpose of the Position: This position is responsible for actively participating in designing and implementing a variety of supplier quality control processes and systems to ensure a robust supplier selection, certification, assessment and verification program.

Duties and Responsibilities:

  • Actively participate in establishing and maintaining Quality Assurance standards for Capstone suppliers. These standards shall adhere to Capstone Supplier Quality policies and ISO regulations to ensure that appropriate products and services are provided.
  • Responsible for the quality of products manufactured at external manufacturers.
  • Act as facilitator in resolving supplier and procurement related issues.
  • Develop and implement, in collaboration with Strategic Sourcing, supplier development and part certification programs for new and existing suppliers.
  • Develop and implement supplier quality tracking system with appropriate metrics and reporting systems.
  • Review suppliers purchase orders for appropriate quality requirements flow down.
  • Plan, organize, and conduct audits, surveys, and inspections.
  • Support company initiatives to develop and improve supplier performance and productivity.
  • Manage suppliers using the Capstone Supplier Corrective Action Processes
  • Prepare, maintain, and review purchasing quality procedure to ensure compliance.
  • Monitor and report on supplier quality-related activities to verify quality system, product and contract, or purchase order compliance.
  • Participate in first article inspections.
  • Ensure that suppliers document and maintain an approved quality system to meet the appropriate company or customer requirement.
  • Represent the company with suppliers to ensure that suppliers’ manufacturing and Quality System, special processes and products meet purchase contract requirements and applicable regulatory and government regulations.

Skills and Abilities:

  • Ability to work effectively in an entrepreneurial team environment.
  • Excellent oral and written communication skills.
  • Approximately 25% travel required; a small portion of the travel is international.
  • Working knowledge of ISO 9000 and 14001 requirements.
  • Demonstrate high level of computer literacy – proficient in developing Excel spreadsheets, utilizing word processing and databases, specifically Microsoft Office Suite.
  • Ability to communicate effectively, make presentations and write concise reports for all levels of employees.
  • Demonstrate analytical/technical aptitude evidenced by 5 or more years of successful experience in quantitative role.
  • Demonstrated coaching, mentoring, teaching skills.
  • Problem solving skills evidenced by demonstrated results in past positions.
  • Ability to work under tight deadlines and handles multiple detail-oriented tasks.
  • Knowledge of theory and principles of statistics, statistical sampling techniques and statistical process control.

  • Able to read blue prints and drawings.

Education and Experience:

  • Bachelor’s degree with a minimum of 2 years supplier quality, 4 years quality related experience.

Equivalent combination of education and management experience including supervision can be substituted

  • Minimum of 5 years experience in an analytical role.
  • Purchasing and/or Program Management experience a plus.

DEPARTMENT: Marketing and Distribution
REPORTS TO: Vice President, Marketing and Distribution

PURPOSE OF THE POSITION: To provide the interface between Capstone Green Energy in the USA and its distribution partners in Asia-Pacific (APAC) with regards to marketing, sales and commercial matters to achieve and exceed corporate sales goals in the region. This role will also facilitate pre-sales technical, applications, and aftermarket service support to the region.

DUTIES AND RESPONSIBILITIES:

  • A primary responsibility will be to work with and manage Capstone’s distribution partners in APAC to ensure sales growth and achievement of forecasted sales targets, both systems/accessories and service plan adoption.
  • To assist distribution channels in developing new opportunities as well as developing competitive advantage through commercial, technical and support offerings.
  • Prepare proposals including costing, pricing and risk review.
  • Develop and manage distribution channels in other markets as directed and prioritized by management.
  • Act as a liaison between Distributors and Accounting, ensuring the timely payment of Accounts Receivable balances.
  • Support the Company’s objectives relating to quality and reliability by communicating and reporting on the performance of installed and operated units.
  • Serve as a liaison to communicate quality issues and regional challenges for various matters to the Service department and to expedite pending aftermarket revenue orders.
  • Support the Service department with Field Reliability Programs as needed.
  • Gather and summarize commercial data to better understand the markets and distribution channel’s targets/forecasts and success factors.
  • Gather market information and present it to Capstone to guide new product development activities at Capstone.
  • Provide regular and accurate management reports.

SKILLS AND ABILITIES:

  • Must have excellent communication skills, including written, oral, and presentation.
  • Evidence of the ability to work in a fast paced, dynamic, entrepreneurial environment where growth and professionalism will be achieved largely through creativity, high integrity, reasoned and thoughtful judgment, sense of urgency, and a willingness to “roll up the sleeves.”

  • Understanding of electrical and mechanical systems.
  • Computer literate in standard MS Office 365 products and Salesforce applications
  • Excellent written and verbal language skills in English

EDUCATION AND EXPERIENCE:

  • Bachelor's degree in a technical field, MBA is a plus.
  • 7+ years hands on sustained success in application integration in the energy, power or associated industry.
  • 5+ years sales experience in Asia, knowledge of distribution channels is strongly preferred.
  • Fluency in Asian languages is highly desirable.
